Agreement to Terms

By accessing or using PapayaLedger (“Service”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service.

1. Account Registration

1.1 Eligibility

You must be at least 13 years old to use this Service. By registering, you represent that you meet this age requirement.

1.2 Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must provide accurate, current, and complete information during registration.
  • You must notify us immediately of any unauthorized use of your account.

1.3 Account Security

We recommend using a strong, unique password. Never share your password with anyone. We will never ask for your password via email or phone.

2. Subscription Plans & Payment

2.1 Plans

  • Free Plan: Limited features as described on our Pricing page. Free forever.
  • Premium Plan: $9.99/month or $99/year (17% savings). Unlimited features.
  • Team Plan: $29.99/month or $299/year. Team collaboration features.

2.2 Payment Terms

  • All payments are processed securely through Stripe.
  • Subscriptions automatically renew unless canceled before the renewal date.
  • Prices are subject to change with 30 days' notice to existing subscribers.
  • Refunds are provided within 14 days of initial payment only (see Refund Policy below).

2.3 Free Trial

Premium and Team plans include a 14-day free trial. You will not be charged until the trial period ends. You can cancel anytime during the trial without being charged.

2.4 Cancellation

  • You may cancel your subscription at any time from your account settings.
  • Cancellation takes effect at the end of the current billing period.
  • You will retain access until the end of the paid period.
  • After cancellation, your account will downgrade to the Free plan.

2.5 Refund Policy

  • 14-Day Money-Back Guarantee: Full refund if you cancel within 14 days of your first payment.
  • No Partial Refunds: We do not offer prorated refunds for mid-cycle cancellations.
  • Refund Process: Refunds are processed within 5-10 business days to your original payment method.

3. Acceptable Use

3.1 Permitted Use

You may use the Service for:

  • Personal expense tracking
  • Business expense management
  • Group expense splitting with friends, family, or colleagues

3.2 Prohibited Activities

You may NOT:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
  • Violate the intellectual property rights of the Service or any third party.
  • Upload viruses, malware, or any malicious code.
  • Attempt to gain unauthorized access to the Service, other user accounts, or our servers.
  • Interfere with or disrupt the Service or servers connected to the Service.
  • Use automated tools (bots, scrapers) to access the Service without permission.
  • Impersonate another person or entity.
  • Share your account with others (except for authorized Team plan members).

3.3 Consequences

Violation of these terms may result in immediate termination of your account without refund.

4. User Content

4.1 Your Data

You retain all rights to the data you upload (expense records, receipts, notes). We do not claim ownership of your content.

4.2 License to Use

By uploading content, you grant us a limited license to:

  • Store, process, and display your data to provide the Service
  • Process receipt images through AI services (Google Cloud Vision, OpenAI) for OCR
  • Create backups for data protection

This license ends when you delete your content or close your account (subject to our retention policy).

4.3 Content Restrictions

You may not upload content that:

  • Infringes on intellectual property rights
  • Is illegal, harmful, threatening, abusive, or hateful
  • Contains viruses or malicious code

5. Service Availability

5.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

5.2 Modifications

We reserve the right to modify or discontinue the Service (or any part thereof) with or without notice. We are not liable for any modification, suspension, or discontinuation.

5.3 Maintenance

We may perform scheduled maintenance with advance notice via email or in-app notification.

6. Intellectual Property

6.1 Our Rights

The Service and its original content, features, and functionality are owned by PapayaLedger and are protected by copyright, trademark, and other laws.

6.2 Trademarks

“PapayaLedger” and our logo are trademarks of PapayaLedger. You may not use our trademarks without prior written permission.

6.3 Feedback

If you provide feedback or suggestions, we may use them without any obligation to you.

7. Third-Party Services

Our Service integrates with third-party services:

  • Stripe: Payment processing (subject to Stripe's terms)
  • OpenAI: AI-powered expense parsing
  • Google Cloud Vision: OCR receipt scanning
  • Twilio: SMS invitations
  • SendGrid: Email delivery

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

8. Limitation of Liability

8.1 No Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PAPAYALEDGER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

  • Your use or inability to use the Service
  • Unauthorized access to your data
  • Errors or inaccuracies in expense calculations
  • Loss of data due to technical failures

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months prior to the claim, or $100, whichever is greater.

9. Indemnification

You agree to indemnify and hold PapayaLedger harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of any rights of another party

10. Termination

10.1 By You

You may terminate your account at any time by deleting it from your account settings.

10.2 By Us

We may terminate or suspend your account immediately, without prior notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees (for paid plans)

10.3 Effect of Termination

  • Your right to use the Service will immediately cease.
  • Your data will be deleted within 90 days (you may export it before deletion).
  • No refunds will be provided for terminated accounts (except in cases of our breach).

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by the laws of [Your State/Country], without regard to conflict of law provisions.

11.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You agree to waive your right to a jury trial or to participate in a class action lawsuit.

11.3 Exceptions

Either party may seek injunctive relief in court for intellectual property disputes or breaches of confidentiality.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the new Terms on this page with an updated “Last Updated” date
  • Sending an email notification (for significant changes)

Your continued use after changes constitutes acceptance. If you do not agree, you must stop using the Service.

13. Miscellaneous

13.1 Entire Agreement

These Terms constitute the entire agreement between you and PapayaLedger regarding the Service.

13.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

13.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

13.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms to any affiliate or successor.
