1. Acceptance of Terms

Welcome to PapayaLedger. These Terms of Service ("Terms") govern your access to and use of PapayaLedger's website, mobile application, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Eligibility

To use PapayaLedger, you must:

• Be at least 13 years of age (or 16 in the EU)
• If under 18, have parental or guardian consent
• Provide accurate and complete registration information
• Not be prohibited from using the Service under applicable laws
• Not have been previously banned from the Service

3. Account Registration and Security

3.1 Account Creation

You must create an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration and to update this information as needed.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your password
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use or security breach
• We are not liable for losses caused by unauthorized use of your account

3.3 Account Termination

You may delete your account at any time through Settings. Upon deletion, your data will be permanently removed after a 30-day grace period. We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

4.1 Permitted Use

You may use the Service to track personal expenses, split bills with friends and family, manage group finances, and use features as intended and documented.

4.2 Prohibited Conduct

You agree NOT to:

• Use the Service for illegal activities or money laundering
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Scrape, crawl, or use automated tools to access the Service
• Reverse engineer, decompile, or disassemble the software
• Impersonate others or provide false information
• Harass, abuse, or harm other users
• Spam or send unsolicited communications
• Violate intellectual property rights
• Interfere with the Service's operation or security

5. Subscription and Payment Terms

5.1 Free and Paid Plans

PapayaLedger offers a Free plan with limited features and Premium/Team paid plans with additional features. Pricing and features are subject to change with 30 days' notice.

5.2 Billing

• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• Payment is processed through Stripe (see their terms)
• We do not store your payment card information
• Failed payments may result in account suspension

5.3 Free Trial

New users may receive a 14-day free trial. Your card will be charged automatically after the trial ends unless you cancel. Trials are limited to one per user.

5.4 Cancellation and Refunds

• You may cancel your subscription at any time through Settings or the billing portal
• Cancellation takes effect at the end of the current billing period
• No prorated refunds for partial months
• Refunds for billing errors will be issued promptly

5.5 Price Changes

We may change subscription prices with 30 days' advance notice via email. Existing subscribers will maintain their current pricing until renewal.

6. User Content and Data

6.1 Your Content

You retain all ownership rights to the expense data, receipts, and other content you upload ("User Content"). You are solely responsible for the accuracy and legality of your User Content.

6.2 License to Us

You grant PapayaLedger a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service. This license ends when you delete your content or account.

6.3 AI Processing

By uploading receipts, you consent to AI-powered OCR processing to extract expense information. Receipt images and extracted data are not used to train AI models.

7. Intellectual Property

The Service, including its software, design, logos, and content, is owned by PapayaLedger and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

"PapayaLedger," our logo, and related marks are trademarks. You may not use our trademarks without prior written consent.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Services and Links

The Service integrates with third-party services (Stripe, Firebase, etc.). Your use of these services is subject to their respective terms and conditions. We are not responsible for third-party services or their availability.

The Service may contain links to external websites. We do not endorse or control these websites and are not responsible for their content.

10. Disclaimers and Limitations

10.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted, error-free, or secure operation. We may modify, suspend, or discontinue features at any time.

10.2 No Financial Advice

IMPORTANT: PapayaLedger is a tool for tracking expenses only. We do not provide financial, tax, legal, or investment advice. Consult qualified professionals for financial decisions. We are not liable for financial losses.

10.3 Data Accuracy

While we strive for accuracy in AI categorization and OCR, we cannot guarantee 100% accuracy. You are responsible for verifying all expense data before making financial decisions.

You agree to indemnify and hold harmless PapayaLedger, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your User Content
• Your violation of any rights of another party
• Your use or misuse of the Service

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing a formal dispute, please contact us at support@papayaledger.com to resolve the issue informally.

13.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except as required by law.

13.3 Class Action Waiver

You agree to resolve disputes individually. Class actions, class arbitrations, and representative actions are waived unless prohibited by law.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. For users outside the U.S., local consumer protection laws may apply.

15. Changes to These Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notice at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.

16. Severability and Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right or provision does not constitute a waiver.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices, constitute the entire agreement between you and PapayaLedger regarding the Service.
